General

Orators Society websites (“Website”) and mobile applications (“Apps”) and related services (together with the Websites, the “Service”) are operated by Boot Infotech Private Limited. (“Orators Society,” “us,” or “we”). Access and use of the service are subject to the following Terms and Conditions of Service (“Terms and Conditions”). By accessing or using any part of the service, you represent that you have read, understood, and agree to be bound by these Terms and Conditions including any future modifications. Orators Society may amend, update or change these Terms and Conditions. If we do this, we will post a notice that we have made changes to these Terms and Conditions on the Website for at least 7 days after the changes are posted and will indicate the date at the bottom of the Terms and Conditions when these terms were last revised. Any revisions to these Terms and Conditions will become effective the earlier of (i) the end of such 7-day period or (ii) the first time you access or use the Service after such changes. If you do not agree to abide by these Terms and Conditions, you are not authorized to use, access or participate in the service.

Description of Website and Service

The service allows users to access and use a variety of educational services, including learning or practising language, diction and speech. Orators Society may, in its sole discretion and at any time, update, change, suspend, make improvements to or discontinue any aspect of the service, temporarily or permanently.

Code of Conduct

Code of Conduct Orators Society’s core values are integrity, respect, service and excellence. These are values worthy of a great organization, and Orators Society believe Orators Society should incorporate them as anchor points in every decision Orators Society makes. Our core values provide us with a means of not only guiding but also evaluating our operations, our planning, and our vision for the future. The following are Rules of Conduct that apply to any form of communication on this website and all Orators Society online social media platforms:

1. Maintain Professional Decorum & Integrity

  1. The Orators Society Code of Ethics and Conduct applies to social media participation, including standards for communications.
  2. As a member of Orators Society, it is important that all users conduct themselves in a professional manner at all times in accordance with the core values. This includes the use of social media. Accordingly, it is important that Orators Society members, Orators Society staff, and site visitors be treated with respect at all times. Never engage in personal attacks – threatening, insulting, or intimidating other users, as well as “flaming” (berating another user),“trolling” (posting derogatory, inflammatory, or provocative content attempting to bait others into responding). This includes any attacks against forum moderators, fellow Orators Society members or employees.
  3. Disagreements can and will occur. The proper focus of any conflict should be on the issue at hand and not on the individual. Please remember to be fair and courteous while disagreeing with others. Personal attacks against others, however, are not allowed.
  4. Never act dishonestly or unprofessionally by engaging in behaviour that is detrimental to the best interests of Orators Society by posting inappropriate, inaccurate or objectionable content.
  5. Do not, under any circumstance, harass, abuse, bully, or harm another person, including sending unwelcome communications to others.
  6. Never upload, post, email, transmit or otherwise make available or initiate any content that:
    1. Is unlawful, racist, sexist, homophobic, hateful, damaging, false, libellous, defamatory, malicious, vulgar, obscene, or discriminatory, contains religious or ethnic bias, or is otherwise objectionable. For example, never post anything meant to harm someone's personal or professional reputation or jokes based on race, sex, religion or disability.
    2. Includes information that invades another’s privacy or that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships.
    3. Includes any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” surveys, or any other form of solicitation. This includes any content soliciting customers, clients, donors, or others on behalf of your business, profession, or any organization or causes other than Orators Society.
    4. Includes any private communication between members, moderators, volunteer leaders, World Headquarters employees or partners of Orators Society on these forums or anywhere else without express written permission from the individual you are quoting.
    5. Impersonates any person or entity, or falsely represents your affiliation with any person or entity.
    6. Supports or opposes any political party, candidate for public office, a ballot measure to be voted upon by the public or legislative proposal.
    7. Harvests, collects or discloses information about another user without his or her express written consent.
    8. Transmits any harmful, invasive, or disruptive code or other materials (such as viruses, worms, or web bugs).
  7. Orators Society forums tend to involve many participants. Communications that contain criticism, complaints, accusations, allegations, etc., are more properly directed through personal conversations, phone calls, or emails through official channels established to address such problems, rather than broadcast via social media and forums. This is the better way to resolve differences while minimizing damage to the goodwill and social fabric of Orators Society.
  8. Orators Society is not responsible for the content of others. You are solely responsible for your content. You may not indicate that your content is anything other than your own observations or opinions. You may not represent that your statements are made on behalf of or are endorsed by Orators Society unless you are specifically authorized to do so in writing.

ANY behaviour that is patently offensive is forbidden, whether specifically identified on this list or not. Comply with all applicable local, state, national, and international laws, including, without limitation, privacy laws, intellectual property laws, export control laws, tax laws, and regulatory requirements. Orators Society has the right, but not the obligation, to modify or remove any content that appears on any official Orators Society forum, and to restrict, suspend or terminate the access of any user, that violates this Conditions of Use, and to take appropriate disciplinary action under the Bylaws, Policies and Protocols of Orators Society.

Your Representations and Warranties

You represent and warrant to Orators Society that your access and use of the Service will be in accordance with these Terms and Conditions and with all applicable laws, rules and regulations of India and any other relevant jurisdiction, including those regarding online conduct or acceptable content, and those regarding the transmission of data or information exported from India and/or the jurisdiction in which you reside. You further represent and warrant that you have created or own any material you submit via the Service (including Translation Materials, Course Contributor Materials, Activity Materials, and Content) and that you have the right, as applicable, to grant us a license to use that material as set forth above or the right to assign that material to us as set forth below.

Indemnification of Orators Society

You agree to defend, indemnify and hold harmless Orators Society and its directors, officers, employees, contractors, agents, suppliers, licensors, successors and assigns, from and against any and all losses, claims, causes of action, obligations, liabilities and damages whatsoever, including attorneys' fees, arising out of or relating to your access or use of the Service, any false representation made to us (as part of these Terms and Conditions or otherwise), your breach of any of these Terms and Conditions, or any claim that any translation we provide to you is inaccurate, inappropriate or defective in any way whatsoever.

License to Apps

Subject to the terms of these Terms and Conditions, Orators Society grants you a non-transferable, non-exclusive license to download, install, and use one copy of each App in object code form only on an interactive wireless device that you own or control. You may not derive or attempt to derive the source code of all or any portion of any App, permit any third party to derive or attempt to derive such source code, or reverse engineer, decompile, disassemble, or translate any App or any part thereof. Orators Society and its licensors own and shall retain all intellectual property rights and other rights in and to the Apps, and any changes, modifications, or corrections thereto.

The transfer of Virtual Items is prohibited except where expressly authorized in the service. Other than as expressly authorized in the service, you shall not sell, redeem or otherwise transfer virtual items to any person or entity, including but not limited to the company, another user, or any third party.

Third-Party Links, Sites, and Services

The Service may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by Orators Society. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from Orators Society, you understand that these Terms and Conditions and our Privacy Policy do not apply to your use of such sites. You expressly acknowledge and agree that Orators Society shall not be responsible or liable, directly or indirectly, for any damage or loss arising from your use of any third-party website, service, or content.

The Service may include advertisements, which may be targeted to the Content or information on the Service, or other information. The types and extent of advertising by Orators Society on the Service are subject to change. Limitation on types of damages/limitation of liability

In no event will Orators Society be liable to you or any third-party claiming through you (whether based in contract, tort, strict liability or other theory) for indirect, incidental, special, consequential or exemplary damages arising out of or relating to the access or use of, or the inability to access or use, the service or any portion thereof, including but not limited to the loss of use of the service, inaccurate results, loss of profits, business interruption, or damages stemming from loss or corruption of data or data being rendered inaccurate, the cost of recovering any data, the cost of substitute services or claims by third parties for any damage to computers, software, modems, telephones or other property, even if orators society has been advised of the possibility of such damages. Orators Society’s liability to you or any third-party claiming through you for any cause whatsoever, and regardless of the form of the action, is limited to the amount paid, if any, by you to Orators Society for the service in the 12 months prior to the initial action giving rise to liability. This is an aggregate limit. The existence of more than one claim hereunder will not increase this limit.

Termination

Orators Society may terminate your access and use of the service immediately at any time, for any reason, and at such time you will have no further right to use the service. You may terminate your Orators Society account at any time by following the instructions available through the service. The provisions of these Terms and Conditions relating to the protection and enforcement of Orators Society’s proprietary rights, your representations and warranties, disclaimer of representations and warranties, release and indemnities, limitations of liability and types of damages, ownership of data and information, governing law and venue, and miscellaneous provisions shall survive any such termination.

Proprietary Rights in Service Content and Activity Materials

All content available through the service, including designs, text, graphics, images, information, software, audio and other files, and their selection and arrangement (the "Service Content"), are the proprietary property of Orators Society or its licensors. No Service Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, other than as expressly permitted in these Terms and Conditions. You may not use any data mining, robots, scraping or similar data gathering or extraction methods to obtain Service Content. As between you and Orators Society, all data, information and materials generated from your access and use of the educational activities made available on or through the service (collectively, the “Activity Materials”), shall be exclusively owned by Orators Society, and you shall not have any right to use such Activity Materials except as expressly authorized by these Terms and Conditions. By using the service, you hereby assign to Orators Society any and all rights, title and interest, including any intellectual property rights or proprietary rights, in the Activity Materials. All rights of Orators Society or its licensors that are not expressly granted in these Terms and Conditions are reserved to Orators Society and its licensors.

Trademarks

“Orators Society” and all other trademarks, service marks, graphics and logos used in connection with the Service are trademarks or service marks of Orators Society or their respective owners, and certain of them are registered with the India Patent and Trademark Office. Access and use of the service do not grant or provide you with the right or license to reproduce or otherwise use the Orators Society name or any Orators Society or third-party trademarks, service marks, graphics or logos.

Privacy

Use of the Service is also governed by our Privacy Policy, a copy of which is located at www.oratorssociety.com/privacy. By using the Service, you consent to the terms of the Privacy Policy.

Miscellaneous

These Terms and Conditions constitute the entire agreement between Orators Society and you concerning the subject matter hereof. In the event that any of the Terms and Conditions are held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect. A waiver by Orators Society or you of any provision of these Terms and Conditions or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. Orators Society may assign its rights or obligations under these Terms and Conditions without condition. These Terms and Conditions will be binding upon and will insure to the benefit of Orators Society and you, and Orators Society's and your respective successors and permitted assigns.
